Acceptance of Terms
By accessing or using the StrataOps Risk platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our services. Your continued use of the platform constitutes acceptance of any modifications to these terms.
These terms apply to all users, including organizations that subscribe to our services and individual users authorized to access the platform on behalf of subscribing organizations. References to "you" or "your" may refer to both the organization and its authorized users as context requires.
Service Description
StrataOps Risk provides a software-as-a-service platform for operational risk management. Our services include unified risk scoring, scenario planning, stress testing, regulatory signal tracking, vendor exposure analysis, and related capabilities as described in your subscription tier.
The platform integrates with your finance, project management, procurement, and other systems to consolidate operational data and generate risk intelligence. Features, integrations, and capabilities vary by subscription tier. We may modify, update, or discontinue features with reasonable notice, though we will maintain core functionality for your subscribed tier.
Account Registration and Access
To use StrataOps Risk, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
Organizations may authorize multiple users to access the platform. The subscribing organization is responsible for managing user permissions, ensuring users comply with these terms, and maintaining appropriate access controls. You may not share credentials, allow unauthorized access, or use the platform on behalf of third parties without our prior written consent.
Subscription Plans and Billing
StrataOps Risk offers tiered subscription plans with different features, capabilities, and pricing. Subscription fees are based on your selected tier and are billed according to the payment schedule specified in your subscription agreement (monthly, annually, or otherwise).
All fees are due in advance and are non-refundable except as expressly stated in your subscription agreement or required by applicable law. You authorize us to charge your designated payment method for all fees. If payment fails, we may suspend access until payment is received. We reserve the right to modify pricing with 30 days notice for existing subscribers.
Acceptable Use Policy
You agree to use the platform only for lawful purposes and in accordance with these terms. You may not use StrataOps Risk to violate any laws, infringe intellectual property rights, transmit malicious code, attempt to gain unauthorized access to systems, interfere with service operations, or engage in fraudulent activity.
You may not reverse engineer, decompile, disassemble, or attempt to derive source code from the platform. You may not use automated tools to extract data beyond what is provided through documented APIs. You may not resell, sublicense, or otherwise commercialize access to the platform without our express written permission.
Your Data and Content
You retain ownership of all data you upload, integrate, or generate through use of the platform ("Customer Data"). You grant us a limited license to process Customer Data solely to provide services, generate risk scores, run analyses, and perform related functions described in your subscription.
You represent and warrant that you have all necessary rights to provide Customer Data to us and that such data does not violate any laws or third-party rights. You are responsible for the accuracy and legality of Customer Data. We are not responsible for the content, accuracy, or consequences of decisions based on Customer Data or platform outputs.
Intellectual Property Rights
The StrataOps Risk platform, including all software, algorithms, methodologies, interfaces, documentation, and related materials, is protected by copyright, trademark, and other intellectual property laws. We retain all rights, title, and interest in the platform. These terms do not grant you any ownership rights.
Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform according to your subscription tier. This license terminates when your subscription ends or if you violate these terms. Trademarks displayed on the platform are our property or the property of third parties.
Service Availability and Support
We strive to maintain platform availability but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or emergency repairs that temporarily affect availability. We will provide reasonable notice for scheduled maintenance when feasible.
Support is provided according to your subscription tier. This may include email support, priority support channels, or dedicated account management. Support hours, response times, and available channels vary by tier. We will make commercially reasonable efforts to address issues but do not guarantee resolution timeframes.
Limitation of Liability
To the maximum extent permitted by law, StrataOps Risk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of or inability to use the platform, even if we have been advised of the possibility of such damages.
Our total liability for all claims arising from or related to the platform shall not exceed the amount you paid us in the twelve months preceding the claim. Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you to the extent prohibited by law.
Disclaimer of Warranties
The platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the platform will meet your requirements or that operation will be uninterrupted or error-free.
Platform outputs, including risk scores, scenario models, and stress test results, are decision support tools, not definitive assessments or professional advice. You are responsible for evaluating outputs and making your own business decisions. The platform is not investment advice and should not be used as the sole basis for financial or operational decisions.
Indemnification
You agree to indemnify, defend, and hold harmless StrataOps Risk, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the platform, violation of these terms, infringement of third-party rights, or provision of Customer Data.
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense. This indemnification obligation survives termination of these terms and your use of the platform.
Term and Termination
These terms remain in effect while you access or use the platform. Your subscription continues according to your selected billing cycle until cancelled. You may cancel by providing notice according to your subscription agreement, typically 30 days before the next billing date.
We may suspend or terminate your access immediately if you violate these terms, fail to pay fees, engage in fraudulent activity, or for other material breaches. Upon termination, your right to access the platform ceases immediately. We will provide reasonable opportunity to export Customer Data, after which we may delete it according to our data retention policies.
Dispute Resolution and Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these terms or use of the platform shall be resolved in the courts located in Toronto, Ontario, and you consent to the exclusive jurisdiction of such courts.
Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us at legal@strataops.risk. We will attempt to resolve disputes in good faith. If resolution is not reached within 60 days, either party may pursue formal legal action.
Modifications to Terms
We may modify these terms at any time by posting updated terms on our website and notifying you via email or platform notice. Material changes will be effective 30 days after notice. Your continued use after changes become effective constitutes acceptance. If you do not agree to modified terms, you must discontinue use and cancel your subscription.
We reserve the right to modify features, pricing, or service capabilities with reasonable notice. Changes to your current subscription tier during your active subscription period will be communicated at least 30 days in advance, and you may choose not to renew if you disagree with changes.
Miscellaneous Provisions
If any provision of these terms is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce any right or provision does not constitute a waiver. These terms constitute the entire agreement between you and StrataOps Risk regarding the platform and supersede all prior agreements.
You may not assign or transfer these terms or your account without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to your account email address and are deemed received when sent.
